Use PSP Video 9. I find it to be the most intuitive and easy to use software. Just search on their website. They have 1.75 out now. I think that if you can somehow obtain an earlier version (Ex - v1.51) it would be better.
Just tweak the settings a little bit until you get them right.

PS: If you don't like PSP Video 9 or can't use it, just switch to 3GP converter. *Don't Buy software! These are both free!*
